Public offer agreement
In accordance with the current Ukrainian legislation, trading through an online store is considered to be distance selling. In this regard, the Internet resource of the store uhtrade.com.ua is the trading platform of UmanChemTrade Ukraine. Contractual relations between the buyer and the seller of UmanChemTrade Ukraine are formalized in the form of a public offer agreement.
Clicking on the "Confirm" button on the ordering page on the Internet resource means that the buyer, regardless of status (individual, legal entity, individual entrepreneur), in accordance with the current Ukrainian legislation, has accepted the terms of the public offer agreement, which are listed below.
The public offer agreement is public, i.e., in accordance with Article 633 of the Civil Code of Ukraine, its terms and conditions are the same for all buyers regardless of their status (individual, legal entity, individual entrepreneur). In case of full agreement with this Agreement, the Buyer accepts the terms and procedure for placing an order, paying for the goods, delivering the goods, and being liable for a bad faith order and for failure to comply with the terms of this Agreement.
The Agreement is considered concluded from the moment you click the "Confirm" button on the ordering page and confirm your purchase. If necessary, at the request of the buyer, the agreement may be executed in a simple written form.
Essential terms of the public offer agreement:
1. Conditional agreements
1.1 Conditional agreements are the definitions contained in this Agreement, which are its integral part.
1.2 The definitions shall be interpreted based on their essence and the content of this Agreement. Below is a list of these definitions:
• uhtrade.com.ua -Trading platform, online store.
• Product - the object of the parties' agreement, which is selected by the buyer in the online store uhtrade.com.ua and placed in the basket of the online store uhtrade.com.ua
• Buyer - any capable individual, legal entity, individual entrepreneur, according to the current Ukrainian legislation, who has visited the website uhtrade.com.ua, intending to purchase the Goods and pay for the receipt of such Goods.
• Seller - UmanChemTrade Ukraine, the owner of the goods offered on the website of the online store uhtrade.com.ua.
2 General provisions
2.1 This public offer (hereinafter referred to as the agreement) defines the features of the sale and purchase of goods on the website uhtrade.com.ua.
This offer applies to any product offered for sale (purchase) on the website uhtrade.com.ua.
3. Subject of the public offer agreement.
3.1 Providing the Buyer with access to all necessary information on the Goods (confirming the quality and safety of its use) presented within the framework of the uhtrade.com.ua project.
4. The moment of conclusion of the contract.
4.1 The text of this Agreement is a public offer and is valid for all visitors to the uhtrade.com.ua online store who have the intention, desire and ability to purchase goods.
4.2 Acceptance of the offer is the purchase of goods in the manner prescribed by this agreement, at the prices indicated on the Internet resource uhtrade.com.ua and acceptance of the terms of payment and delivery of goods.
4.3 The fact of purchase of the Goods is the Buyer's unconditional acceptance of the terms of this Agreement. The Buyer who has used the services of uhtrade.com.ua is considered as a person who has entered into a contractual relationship with the Seller.
5. Rights and obligations of the parties.
5.1 uhtrade.com.ua undertakes to transfer the goods to the Buyer:
* in a certain place
• in a certain quantity
•in the appropriate completeness and in a set, if any
• of proper quality
• free from claims of third parties
5.1.1 from the moment of conclusion of this Agreement to fully fulfill all obligations to the Buyer in accordance with the terms stipulated by the website uhtrade.com.ua and this Agreement. The company "UmanChemTrade Ukraine" reserves the right to non-fulfillment of obligations in case of force majeure.
5.1.2Do not disclose any private information about the Buyer and do not provide access to this information to third parties, except as provided by law or at the request of the Buyer.
5.2 uhtrade.com.ua has the right to:
5.2.1 To change the terms of this Agreement, as well as the Tariffs (prices) for the Goods and services, unilaterally by posting them on the server at uhtrade.com.ua.
5.2.1.1 All changes shall take effect immediately after publication.
5.2.2 Refuse to provide services without giving any reason.
5.2.3Send letters of advertising and informative nature to the customers.
5.3 The Buyer undertakes to:
5.3.1 Before concluding the Agreement, familiarize yourself with the content of the Agreement, the terms of the Agreement and the tariffs (prices) offered by the Seller on all pages of the website uhtrade.com.ua.
5.3.2 In order for the Seller to fulfill its obligations to the Buyer, the latter must provide all the necessary data that uniquely identify him as the Buyer and are sufficient to deliver the Goods paid for by him to the Buyer.
6. Refusal to provide guarantees.
6.1 The Seller does everything possible to ensure the quality of the services provided to the Buyer. Advice and information given to the Buyer cannot be considered as a guarantee.
6.2 The Parties shall be released from liability for non-fulfillment or improper fulfillment of their obligations under the Agreement for the duration of the force majeure. "Force majeure" means extraordinary and insurmountable circumstances under the circumstances that prevent the parties from fulfilling their obligations under this Agreement. These include natural phenomena (earthquakes, floods, etc.), circumstances of public life (military operations, states of emergency, major strikes, epidemics, etc.), prohibited measures of state authorities. During this time, the parties have no mutual claims and each party assumes the risk of the consequences of force majeure.
7. Delivery of goods.
7.1. The Buyer receives the Goods by delivery or receives them personally. The procedure for payment and receipt is indicated in the section "Delivery and payment"
7.2. When delivering goods to other cities of Ukraine, the Buyer fully and unconditionally agrees to the Rules of cargo transportation, which are available on the website of the Carrier Company.
7.3.The fact of receipt of the goods and the absence of claims to the quality of the goods shall be confirmed by the Buyer with his/her signature on the delivery note upon receipt of the goods. For its part, UmanChemTrade Ukraine guarantees the shipment of the goods to the Carrier Company in the quantity agreed and paid for by the Buyer, in a complete set according to the specification of the goods and in proper (working) condition and quality.
7.4 In case of absence of the Buyer at the delivery address specified by the Buyer in the application, or the Buyer's refusal to receive the goods upon delivery by the courier of the Carrier Company due to a different reason from the one specified in clause 6.2, the goods shall be returned to the shipping center. Payment for the services of the Carrier Company shall be charged from the amount transferred by the Buyer for the goods to UmanChemTrade Ukraine. The balance of the amount shall be refunded to the Buyer on the basis of his letter sent to info@uhtrade.com.ua indicating the current account to which the funds should be returned.
7.5. In case of damage or deterioration of the goods during delivery, UmanChemTrade Ukraine shall refund the order value to the Buyer within 14 working days from the date of receipt of the "Certificate of damage to the goods", the form of which is provided by the carrier company, signed by the Buyer.
8. Other conditions.
8.1.Information about the Goods is presented on the main website.
8.2. All disputes and disagreements arising in the performance of the parties' obligations under this Agreement shall be resolved through negotiations. If they cannot be resolved, the parties have the right to seek judicial protection of their interests.
